外贸英文函电 李辉 白丹 主编 第3版 1 Signing the Contract 专业知识简介 学习目标 学习内容 本章小结 Chapter 8 复习思考题 2 专业知识简介 签订书面合同是进出口交易磋商的最后环节,合同的订立标志着买卖双方磋商交易阶段的结束。合同具有法律效力,一经订立,以后的贸易活动都应以合同条款为依据。在国际贸易中,进出口贸易书面合同的名称和形式,均无特定的限制,经常出现的名称有合同(Contract)、确认书(Confirmation)、协议书(Agreement)和备忘录(Memo)。其中以采用合同和确认书两种形式的居多。 合同和确认书可以由双方任何一方起草,分别称为售货合同/确认书、购货合同/确认书。不管它们有怎样的叫法,对双方都有约束力。售货/购货合同比售货/购货确认书正式,并且含有更多的细节。前者通常包含商品名称、规格、数量、包装、唛头、价格、装船、装运港、目的港、付款方法以及有关保险、商检、索赔和不可抗力等条款,而后者只包含主要几项条款。另外,售货或购货合同对价值和数量较大的交易较为合适,因为合同制定了详细的条款以免产生争议。如果数量不大或交易是通过代理或独销协议来进行的话,人们就经常使用售货确认书。 合同的内容通常包括三个部分:约首、约文和约尾。约首(Head of the Contract)通常包括合同名称、合同号码以及双方当事人的名称、地址、电传或传真号码等。约文(Body of the Contract)通常包括定义条款以及对各项交易条件的具体规定,包括品名条款、品质条款、数量条款、包装条款、价格条款、装运条款、保险条款、支付条款、商检条款、索赔条款、不可抗力条款、仲裁条款等条款。约尾(End of the Contract)要指明合同的正本份数、使用的文字效力、合同的准据法等,并由双方签字当事人落款签字、盖印等。 3 学习目标 熟悉合同的主要形式、基本内容和主要条款等; 掌握合同中主要条款的英文表达; 熟悉英文贸易合同的填制方法; 能根据来往商务英文信函缮制英文合同。 4 学习内容 售货确认书的样本 8.1 售货合同样本 合同条款内容书写 8.2 8.3 签订合同要注意的事项 8.4 实际操练 8.5 实用句子 8.6 5 8.1 售货确认书的样本 6 8.2 售货合同样本 7 8.3 合同条款内容书写 在国际贸易合同中应填写的内容一般包括合同号码、买卖双方的名称和地址、商品名称、规格及质量、数量、单价、总值、包装、唛头、保险、装运、支付条款、签约日期和地点等。 1.合同号码(Contract No.) 合同号码有时写在合同标题之后,即Contract的后面,有时在其右上方。若此项空白,应在“No.”之后填上合同号码,如“AC284”、“08-123”等。 2.买卖双方的名称和地址(Sellers/Buyers) 注意不要将买卖双方的名称和地址颠倒。 3.商品名称(Commodity) 要将每项商品名称书写清楚,要注意名称的第一个字母要大写。例如:工作手套Working Gloves;中国餐具 Chinese Dinner Sets;天坛牌家具 Tiantan Brand Furniture;甘薯片 Sweet Potato Slices。 8 8.3 合同条款内容书写 4.商品规格及质量(Specification and Quality) 不同的商品有不同的规格,凭文字说明表示规格。例如:340克听装 In cans of 340 grams;颜色粉、蓝、黄 Colors: pink, blue and yellow;均衡搭配Equally sorted;153型 Type (Model) No. 153;货号7707 Art. No. 7707;35/6"×42码 35/6"×42 yards;型号PMC9-98 PMC9-98;颜色蓝、黄、白、黑平均搭配为小/3、中/3、大/3、加大/3  Blue, Yellow, White and Black equally assorted, S/3, M/3, L/3 and XL/3 per dozen。 凭样品买卖可以表述如下:质量以卖方样品为准 Quality as per seller’s sample;质量以买方样品为准 Quality as per buyer’s sample。 结合凭样品买卖和凭规格表示品质。例如:质量符合样品SP-03号规定,水分最高16% Quality as per sample No. SP-03 with moisture not exceeding 16%,Moisture Max.16% 5.数量(Quantity) 出口合同中的数量条款包括计量单位、商品数量或者再加上关于数量机动幅度的规定。数量通常用数字表示,计量单位用英语单词或缩写。例如:5000 dozen/doz.(5 000打); 500 cases/c/s(500箱);1000 cartons(1 000纸板箱);3000 sets(3000套);10000 metric tons/M/T(10000公吨);65000 yards/yds.(65000码);800 metric tons, 5% more or less at the seller’s option(800公吨,卖方可溢装或短装5%)。 9 8.3 合同条款内容书写 6.单价(Unit price) 计价货币的符号,然后写出每单位数量的具体金额,计量单位和价格术语。例如: CAD30.00 per carton CIF Vancouver(每箱30加元CIF温哥华价);USD45.00 per set CIF Tokyo(每套45美元CIF东京价);GBP 47.50 per dozen CFR Hamburg(每打47.50英镑CFR汉堡价);HKD3.00 per yard CIFC3% Singapore(每码3港元CIF新加坡价,含佣金3%) 常用的计价货币名称: USD United States Dollar GBP (Stg £) Great Britain Pound (Pound Sterling) EUR Euro CAD Canadian Dollar AUD Australian Dollar CNY Chinese Yuan HKD Hong Kong Dollar JPY Japanese Yen 7.总值(Total Value) 最好给出大小写两种写法,即先用数字后用文字填写。 例如:USD22,500 (Say US Dollars Twenty Two Thousand Five Hundred Only) 在用文字填写时应注意以下两点: (1)第一个词用“Say”,最后用“Only”一词,以避免别人修改。 (2)每个单词的第一个字母大写,或所有字母大写,如上面的总值大写可以写作:“SAY US DOLLARS TWENTY TWO THOUSAND FIVE HUNDRED ONLY”。 10 8.3 合同条款内容书写 8.包装(Packing) 进出口货物根据是否加以包装可以分为三大类:散装货活物(bulk cargo)、裸装货物(nude cargo)和包装货物(packed cargo),而其中以包装货物最为常见。出口合同包装条款通常包括外包装的种类和方法及总件数。所谓种类指采用的包装材料,如木箱 (wooden case),纸箱(carton)、捆包(bundle,bale),袋(bag),桶(drum)等;包装方式指每个包装单位内所装的商品个数;总件数指整批货物总的包装件数。 常见的包装表达方法: (1)“in...”用某物包装,用某种形式装。例如:in cases用箱装;in bales打包;in bundles打捆;in bulk散装。 (2)“in ... of ... each ...”或“in…, each containing …”用某物包装,每件装多少。例如:in wooden cases of 50 dozen each 或 in wooden cases, each containing 50 dozen用木箱装,每箱50打。 (3)“in ... of ... each ...to ...”用某物包装,每件装多少,若干件装于一大件中。例如:in boxes of a dozen each, 100 boxes to a wooden case用盒装,每打装一盒,100盒装一木箱。 (4) “… to …, …to …, total…” 若干件装入什么包装材料,一共多少包装件数。例如:20 pieces to a box, 10 boxes to an export carton, total 500 cartons only. 每20件装一盒子,10盒装一纸箱,共500只纸箱。 9.唛头(Shipping Mark) 有时,会直接给出运输标志。例如: ABC WE234 SINGAPORE Nos. 1-200 唛头如果没有具体要求,一律写根据卖方选定,英文用“at Sellers’ option”表达。当然,也可以由买方选定“at Buyers’ option”。 11 8.3 合同条款内容书写 10.保险(Insurance) (1)FOB、CFR合同由买方办理保险,例如: ① Insurance: To be covered by the Buyer ② Insurance: To be effected by the Buyer (2)CIF合同由卖方办理,写明保险投保人、投保金额、保险险别和险别依据。 句型:To be covered by… for…against…as per… 根据……条款,由……按……投保…… 例如: ①To be covered by the Seller for 110% of the invoice value against All Risks and War Risk as per PICC dated Janurary1, 1981. 根据中国人民保险公司1981年1月1日的保险条款,由卖方按发票金额的110%投保一切险和战争险。 ②INSURANCE: To be covered by the seller for 110% of total invoice value against ICC(A)and ICC war clauses as per Institute Cargo Clauses dated l/1/1982。 保险:根据1982年1月1日的协会货物条款,由卖方按发票总金额的110% 投保协会货物A条款和协会战争险条款。 12 8.3 合同条款内容书写 11.装运(Shipment) 装运主要包括起运港、目的港、装运期限、分批装运、转船。 在填写时应注意掌握以下表达方法: (1)某年某月。先写月份,后写年份。月份前写不写介词“in/within”或“during”都可以。例如:“2007年10月”可写成In/Within October 2007,或During October 2007,或October 2007。 (2)转船。with transshipment at在某地转船。例如:2008年6月在哥本哈根转船with transshipment at Copenhagen in June, 2008。不允许转船的英文表达用语有transhipment not allowed/not permitted/ prohibited等。 (3)分批装运。分批装运需要具体说明分几批,从何开始,是否每批等量装运,按每月分批还是按季度或星期。此项表达所用短语为in… equal monthly/weekly/quarterly installments beginning from… 例如:从5月开始分三批按月等量装运 In three monthly installments beginning from May。例如: 2009年1/2月每月平均装运 shipment during Jan./Feb. 2009 in two equal monthly lots. (4)装卸港包括装运港(Port of Shipment)和目的港(Port of Destination)。可用介词短语“from… to…”来表示。例如:自中国港口至新加坡From China Port/ to Singapore;由上海至悉尼From Shanghai to Sydney。 (5)掌握主要港口的英语名称。 综上所述,我们给出表达装运条款的一个基本句式,即 Shipment to be effected from Shanghai to Genoa during June/July/August 2019 in three equal monthly lots, with partial shipment allowed. 2019年6月/7月/8月间由上海装运至热那亚,每月装一批且数量相等,并允许分批。 (6)有时以合同、信用证为基础规定装运期。 例如:①To be effected within 30 days after the date of contract.(在合同日期后的30天之内装运。)②To be effected within 30 days after receipt of the relevant L/C. The L/C must reach the Sellers not later than .(在收到相关信用证的30天之内装运,该信用证应不迟于到达卖方。) 13 8.3 合同条款内容书写 12.支付条款(Terms of Payment) 支付条款是国际贸易中的重要条款,其英文的表达要求严谨而准确。表示支付方式的短语通常由介词“by”引导。例如,by check;by L/C;by cash。 出口合同中支付条款,依据不同的付款方式或支付方式而内容各异,分别举例如下: 1.Remittance(汇付/汇款) 使用汇付方式时,合同中应明确规定汇付的时间、具体的汇付方法以及汇付的金额等。 (1)预付货款 The Buyer shall pay 100% of the sales proceeds in advance by T/T to reach the Sellers not later than Oct.10, 2018/within 2 weeks after the signing of this contract. 买方应不迟于2018年10月10日(本合同签订后两周内)将100%的货款用电汇预付至卖方。 (2)收到海运提单后(单到)付款 The Buyer should pay 100% of the contract value by T/T upon the receipt of the original Bills of Lading (the fax of the original B/L) sent by the seller. 买方应于收到卖方寄交的正本提单(正本提单传真)后立即将100%的货款用电汇付交卖方。 14 8.3 合同条款内容书写 2.Documentary collection(跟单托收) 出口合同采用跟单托收作为付款方式时,条款中应当明确规定银行交单的条件、买方的付款期限等。以下为三种不同形式的跟单托收合同条款: (1)D/P at sight(即期付款交单) Upon first presentation the Buyer shall pay against documentary draft drawn by the Sellers at sight. The shipping document are to be delivered against payment only. 买方应凭卖方开具的即期跟单汇票于见票时立即付款,付款后方可获取运输单据。 (2)D/P after sight(远期付款交单) The Buyer shall duly accept the documentary draft drawn by the Sellers 30 days after sight (after the date of the draft)upon first presentation and make the payment on its maturity. The shipping documents are to be delivered against payment only. 买方对于卖方开具的见票后(出票日后)30天付款的跟单汇票,于提示时应立即承兑,并应于汇票到期日即予付款,付款后方可获得运输单据。 (3)D/A(承兑交单) The Buyer shall duly accept the documentary draft drawn by the Sellers at 45 days’ sight upon first presentation and make payment on its maturity. The shipping documents are to be delivered against acceptance. 买方对卖方开具的见票后45天付款的跟单汇票,于提示时应立即承兑,并应于汇票到期时即予付款,买方在承兑后即可获得运输单据。 15 8.3 合同条款内容书写 3.Documentary L/C(跟单信用证) 跟单信用证支付方式是出口贸易中使用最为广泛的一种支付方式,采用跟单信用证付款时,合同中的支付条款通常包括开证银行、信用证种类、开证日期、信用证金额以及信用证的有效期和到期地点等内容。例如: (1)sight L/C(即期信用证) The Buyer shall open through a bank acceptable to the seller an Irrevocable Letter of Credit payable at sight to reach the seller 30 days before the month of shipment, valid for negotiation in China until the 15th day after the date of shipment. 买方应通过一家卖方可以接受的银行于装运月份30天前开立并送达卖方不可撤销即期信用证,有效至装运日后15天在中国议付。 (2)usance L/C(远期信用证) The Buyer shall open through a bank acceptable to the Seller an Irrevocable Letter of Credit 30 days after sight (after the B/L date/after the date of the draft)to reach the Seller by the end of Aug. 2018, valid for negotiation in China until the 15th day after the date of shipment. 买方应通过卖方可接受的银行于2018年8月底前开立并送达卖方不可撤销见票后(提单日后/出票后)30天付款的信用证,有效至装运日后15天在中国议付。 16 8.3 合同条款内容书写 信用证是国际贸易中常用的一种主要支付方式。凭信用证支付,一般包括下列内容: (1)信用证的种类。常见的信用证种类有保兑的(confirmed);不可撤销的(irrevocable);可转让的(transferable)。 (2)金额。金额一般规定为发票金额的100%。例如:凭全额发票金额的……信用证付款,By 100%... L/C。 (3)汇票付款日期。汇票付款日期有两种:即期和远期。常见的即期信用证表达方法有:sight L/C; L/C at sight; L/C payable by draft at sight; L/C available by draft at sight。远期信用证以见票后30天议付的信用证为例,常见的表达方法有:30 days L/C; L/C at 30 days; L/C at 30 days after sight; L/C available by draft at 30 days after sight。 (4)信用证的到达时间。to reach the Sellers 30 days before the date/ time of shipment 与装运期前30天开抵卖方。 (5)信用证有效期及议付地点。此项内容的填写一般也用不定式短语表达:…to remain valid for negotiation in…till…after the final date of shipment。 例如:to remain valid for negation in China till the 15th day after the final date of shipment 或to remain valid for negation in China within15 days after shipment.(议付有效期至上述装运期后15天在中国到期) 综上所述,表达支付条款的一个基本句式,即By 100% confirmed, irrevocable sight L/C to reach the Sellers 30 days before the date of shipment and to remain valid for negotiation in China till the 15th day after the final date of shipment. 凭全额发票金额、保兑的、不可撤销的即期信用证,该证应于装运期前30天送达卖方,其议付有效期延至装运期后15天在中国到期。 17 8.3 合同条款内容书写 13.签约日期与地点 该项为合同的最后一项内容。一般的格式为Done and signed in...on this...day of...,在介词in后填上“地点”,在this 后填上“日”,在of后填上“月”和“年”。 例如:2017年3月20日于大连 Done and signed in Dalian on this/the 20th day of March 2017。   小提示:签约地点和时间也常常出现在合同的右上角,地点在前,时间在后,只用一般方式表达即可,如以上地点和时间可写作:Beijing, March 20, 2017。 一般的国际合同均为格式合同,其中的不可抗力条款、仲裁条款、异议索赔条款都是根据国际贸易惯例条例统一拟好的,除非交易双方又额外要求和补充,否则不需要每笔合同都添置这些内容。这也是为什么售货确认书被更多使用的原因,因为它是简化的售货合同。 18 8.4 签订合同要注意的事项 (1)尽量争取由我方起草合同或销售确认书。如果做不到这一点,也要与对方共同起草。合同内容要明确完整,语言文字要简练严密,各条款之间应协调一致,避免相互矛盾。 (2)实际操作时一般很少邮寄文本合同,而是和客户协商一致后,把合同的扫描件以EMAIL附件形式发过去,客户打印签字盖章后再回传回来。也可以采用传真和电子合同形式。但要注意风险防范,最好在合同上备注一下:“本合同传真扫描/电子合同与原件具有同等法律效力,并在双方签署后生效。” (3)有些商品,如农副产品和工矿产品,由于商品本身的特征或因自然条件的影响,或受包装盒运输工具的限制,实际交货数量往往不易符合原定的交货数量,为避免争议,买卖双方需订明交货数量的机动幅度。 (4)合同中检验条款的规定,要尽量争取卖方出口地检验,并由我国检验机构出具检验证书。 (5)收到对方已经会签的合同应及时认真审核,确保合同内容未经任何更改或附加。如有不符应及时提出异议,切不可置之不理,以防被视为默示。 (6)要熟悉合同中常用的缩略词语。 例如:Name and Specification of Commodity: North China Sweet Potato Slices, F.A.Q. 2016 crop, moisture 15% max. 商品名称及规格:华北甘薯片,大路货品质,2016年产,含水量最高为15%。 其中,F.A.Q.(fair average quality),表示“良好平均品质”,我们习惯上称为大路货, 常作为出口农副产品的品质标准;max.(maximum),表示“最大值”,与min.(minimum)“最小值”相对。 (7)合同条款中广泛使用一般现在时态以强调现实有效性。例如:This contract is made out in Chinese and English, both versions being equally authentic.本合同以中英文两种文字书写,两种文本具有同等效力。 (8)不管是根据汉语合同、汉语商务信函还是英语往来的商务信函填制英文合同,合同号码、买方和卖方一般都明确给出,但是在英文信函中需要仔细确认,以免把买方和卖方填写颠倒。 19 8.5 实际操练 Fill in the contract form with information gathered from the following correspondences.
