Learning Objectives 3 02 Part 1 Basic Knowledge Definitions and Classifications of Offers and Counter-offers 1. Definitions of“Offer”and“Counter-offer” 　　An offer means that the buyer or the seller puts forward sales terms and conditions to the other side for confirmation and hopes to sign a legal and effective contract based on these terms and conditions. Offers include non-firm offers and firm offers. 　　A counter-offer is the refusal of an offer and it is also a new offer issued by the offeree to the offerer when the offer cannot meet the satisfaction of the offeree. The offer from one party will be of no effect after the other party’s counter-offer.
