Case Lead-in
Part 1
An American company A signed a sole agency agreement with a Hong Kong company B for 2 years and appointed B as the sole agent. During the 2 years, A succeeded in improving the product’s property and appointed another Hong Kong company C as the sole agent of the improved product. Did A have the right to do this? Why?
A vast amount of international trade is handled not only by direct imports and exports between importers and exporters but also by indirect means such as agency, distribution, countertrade, consignment and bidding. An important reason for appointing a foreign agent or distributor is his knowledge of local conditions and the market in which he will operate. Countertrade can achieve the exchange of goods for goods. Consignment helps the exporter introduce goods to a foreign market without losing control of the title of goods. Bidding is commonly used for government construction projects and purchase of goods in large quantity.

Agency
An agent is a middleman who acts on behalf of a principal in specific matters. Many kinds of agents are active in international business nowadays, such as forwarding agents, clearing agents and selling agents. What will be discussed here is selling agents. A selling agent can only operate within the marketing area authorized by the principal. It does not need to carry stock.
