Warm-up
Offer is a certain process for the buyer and seller in transaction negotiation. Business people are eager to receive inquires and will answer them promptly because they promise a future sale. After receiving an inquiry, the seller should make an offer promise the buyer to supply goods on terms of sales for the buyers consideration. So, an offer refers to a promise to supply goods on the terms and conditions stated in an inquiry. In an offer, the seller not only quotes the terms of price but also indicates all necessary terms of sales for the buyers consideration and acceptance. Usually, this kind of offer made by the seller is called selling offer or offer to sell. If the offer is made by the buyer, it is called buying offer or offer to buy(bid).
We can say offer is the first step of foreign trade negotiation. There are two kinds of offers: firm offer and non-firm offer.

Warm-up
The person who makes an offer is the offerer and the person to whom it is addressed is the offeree.
Legally, a proposal for concluding a contract addressed to one or more specific persons constitutes an offer if it is sufficiently definite and indicates the intention of the offerer to be bound in case of acceptance. (United Nations Convention on Contracts for the International Sale of Goods.)
Therefore, conditions for the formation of an offer shall possess the following parts:
The offer shall be made to one or more specific persons.
The offer shall indicate the intention of the offerer to be bound in case of acceptance.
Contents of the offer shall be definite, clear and final. In foreign trade practice, a complete offer shall include the quality, quantity, packing, price, terms of delivery of the goods and terms of payment.
